Trade & Business Account Terms & Conditions

(For use with trade customers, installers, businesses, sole traders & commercial buyers)

These Terms apply to all sales and supply arrangements between GlassParts UK Limited (“we”, “us”, “our”) and any business customer (“you”, “your”).


1. Definitions

  • “Goods” means products supplied by us.
  • “Business Customer” means a purchaser acting for business, commercial, trade or professional purposes.
  • “Contract” means the agreement between us for the supply of goods.
  • “Account” means the business credit or trade account provided by us.

2. Application of These Terms

2.1 These Terms apply to all quotations, orders and contracts for business customers and override any terms supplied by you unless expressly agreed in writing by a company director.
2.2 By opening a trade account or placing an order, you accept these Terms.


3. Trade Account Eligibility

3.1 Trade accounts are offered to verified trade customers only (e.g., installers, glazing contractors, tradespeople, commercial buyers).
3.2 We reserve the right to refuse, close, or withdraw any trade account without explanation.


4. Prices

4.1 Trade prices are exclusive to account holders and may differ from retail prices.
4.2 Prices exclude VAT unless otherwise stated.
4.3 Prices may be altered at any time without notice.
4.4 Errors in pricing may result in cancellation or amendment of an order.


5. Orders

5.1 An order is accepted only when we issue written confirmation.
5.2 Minimum order quantities may apply to some products.
5.3 Orders cannot usually be cancelled once processed.
5.4 Special-order and custom-fabricated items are strictly non-returnable.


6. Delivery

6.1 Delivery dates are estimates only.
6.2 We are not liable for delays caused by suppliers, couriers, or events beyond our control.
6.3 Risk transfers on delivery to your premises, site, or nominated carrier.
6.4 You must inspect goods on arrival and notify us of issues within 24 hours.


7. Returns & Refunds (Business Customers)

7.1 Business customers do not receive the 14-day consumer cooling-off period.
7.2 Returns are accepted only with prior authorisation and may incur:

  • restocking fees (typically 15–30%)
  • deduction of outbound carriage costs

7.3 Goods must be in unused, resaleable condition and in original packaging.
7.4 Special-order, cut-to-size, or bespoke items are not returnable under any circumstances.
7.5 Credit notes may be issued instead of refunds at our discretion.


8. Credit Terms

8.1 Trade credit is offered subject to credit checks and ongoing review.
8.2 Standard payment terms (unless otherwise agreed): 30 days from end of month.
8.3 If payment is not received on time, we may:

  • withdraw credit facilities
  • place the account on stop
  • cancel pending orders

8.4 We reserve the right to reduce or withdraw credit limits at any time.


9. Overdue Accounts

Where payment is overdue, we may charge:
9.1 Statutory interest at 8% above the Bank of England base rate.
9.2 Late payment compensation:

  • £40 for invoices up to £999
  • £70 for invoices £1,000–£9,999
  • £100 for invoices £10,000+

9.3 All recovery, legal, and debt-collection costs.


10. Title & Ownership of Goods

10.1 Ownership remains with us until all sums owed are paid in full.
10.2 Until payment is made, you must:

  • store goods clearly identifiable as ours
  • not remove, resell, or alter goods except in the ordinary course of business

10.3 If payment is overdue, we may enter your premises to repossess goods.


11. Warranty & Liability (Business Customers)

11.1 Goods are warranted to be free from material defects for 12 months unless otherwise stated.
11.2 We may repair, replace, or refund at our discretion.
11.3 We are not liable for:

  • labour or installation costs
  • site delays
  • consequential, indirect, or financial losses
  • damage caused by incorrect installation or misuse
  • incompatibility with third-party systems

11.4 Total liability is limited to the price paid for the goods.


12. Customer-Supplied Imagery (Commercial Licence)

12.1 If you supply images for orders, support, or communication, you retain ownership.
12.2 You grant us a perpetual, worldwide, royalty-free licence to use such images for marketing, advertising, training or commercial purposes.
12.3 You confirm you have the rights to grant this licence.
12.4 Where images show individuals, you confirm you obtained the required consents.


13. Product Suitability

13.1 You are responsible for ensuring goods are suitable for your intended application.
13.2 Recommendations we provide are guidance only and should be verified by a qualified installer.


14. Force Majeure

We are not liable for delays or non-performance caused by circumstances beyond our control, including supply chain issues, strikes, equipment failure, or extreme weather.


15. Termination of Account

We may suspend or close your trade account immediately if:

  • payments are overdue
  • you breach these Terms
  • your business ceases trading or becomes insolvent

16. Governing Law

These Terms are governed by the laws of England & Wales. Disputes shall be handled exclusively by the English courts.


17. Variation

We may amend these Terms at any time. Changes apply to future orders only.

1. Introduction

1.1 These Terms & Conditions (“Terms”) apply to all sales of goods by GlassParts UK Limited trading as GlassParts (“we”, “us”, “our”) to any customer (“you”, “your”), whether consumer or business.
1.2 By placing an order with us, you agree to be bound by these Terms, together with our Privacy Policy, Delivery Policy, and any other documents referred to within them.
1.3 These Terms do not affect your statutory rights.


2. Formation of Contract

2.1 Your order is an offer to buy goods from us.
2.2 A legally binding contract is formed only when we send you an Order Confirmation by email.
2.3 If we cannot accept your order, we will notify you and refund any payment taken


3. Prices

3.1 Prices are as shown on our website and are the most up-to-date prices available.
3.2 Prices may change at any time but will not affect orders already accepted.
3.3 Delivery charges are additional and displayed during checkout.


4. Payment

4.1 Payment must be made in full at the time of ordering.
4.2 We accept major payment methods listed on our website.
4.3 All payments are processed securely.


5. Consumer Right to Cancel (Cooling-Off Period)

(This section applies only to consumers under the Consumer Contracts Regulations 2013.)

5.1 Consumers have the right to cancel an online order for any reason within 14 calendar days from the day after receiving the goods.
5.2 To cancel, you must notify us in writing (email or post).
5.3 You must return the goods to us within 14 days of cancellation, at your own cost unless the goods are faulty.
5.4 You are responsible for the condition of returned goods and may be liable for any diminished value resulting from handling beyond what is necessary to inspect them.
5.5 We will refund all payments received, including standard delivery charges, within 14 days of receiving the returned goods.
5.6 The right to cancel does not apply to:

  • customised, made-to-measure, or specially ordered items
  • sealed items which cannot be returned for hygiene reasons once unsealed

6. Cancellation by Us

We may cancel an order if:
6.1 The goods are out of stock.
6.2 There is an error in pricing or product information.
6.3 We cannot deliver to your location.
If cancelled, you will be refunded in full within 14 days.


7. Delivery

7.1 We deliver to the address provided at checkout.
7.2 Delivery times shown are estimates but will not exceed 30 days unless agreed otherwise.
7.3 Risk in the goods passes to you once delivered into your possession.
7.4 Ownership of the goods passes once payment is received in full.


8. Inspection and Faults

8.1 You should inspect goods upon delivery and notify us of any issues as soon as reasonably possible.
8.2 Consumers have:

  • 30 days to reject faulty goods for a full refund,
  • 6 months where faults are presumed to have been present at delivery unless proven otherwise,
  • Up to 6 years to claim under the Consumer Rights Act 2015.

8.3 Business customers must notify us of defects within 5 working days.


9. Remedies for Defective or Incorrect Goods

Where goods are faulty, damaged, or incorrect, we will:
9.1 Repair or replace the goods; or
9.2 Provide a refund.
Your statutory rights are unaffected.


10. Liability

10.1 We are not liable for indirect or consequential losses (e.g., loss of profits) for business customers.
10.2 For consumers, we are liable only for foreseeable losses caused by our breach.
10.3 Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any rights that cannot legally be excluded.


11. Import Duty (International Orders)

11.1 Orders delivered outside the UK may be subject to customs duties and taxes, payable by you.
11.2 You must comply with all applicable import laws and regulations of the destination country.


12. Customer-Supplied Imagery (Licence to Use Images)

Option A – Perpetual Licence
12.1 If you provide us with any images, photographs, diagrams, or other media (“Customer Images”), you retain full ownership of those images.
12.2 By submitting Customer Images to us (including via email, WhatsApp, online forms, or social media), you grant us a perpetual, irrevocable, worldwide, royalty-free, transferable licence to:

  • use, reproduce, publish, edit, display, distribute, and share the images
  • for any marketing, promotional, advertising, training, or business purpose
  • in any format, media, or platform (current or future).

12.3 You confirm that you own the copyright or have permission to grant this licence.
12.4 If any individuals are identifiable in the images, you confirm you have obtained their consent or lawful basis for sharing them under UK GDPR.
12.5 If you wish to withdraw consent for GDPR-sensitive personal imagery, you may contact us and we will remove the images from future use where legally possible.


13. Notices

Notices must be sent to our postal address or email address as listed above. Electronic notices will be treated as received on the day sent.


14. Events Beyond Our Control

We are not liable for delays or failures caused by events beyond our reasonable control (force majeure), including strikes, transport failure, extreme weather, and supply issues.

15. Privacy & Data Protection

We process personal data in accordance with UK GDPR.

16. Third-Party Rights

No third party has rights under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.


17. Governing Law

These Terms are governed by English law.
All disputes shall be subject to the exclusive jurisdiction of the English courts.


18. Changes to These Terms

We may update these Terms from time to time. Changes will not affect orders already placed and accepted.
